StructMemo Public Content Terms
These Public Content Terms supplement Apple’s Standard EULA and the StructMemo Privacy Policy. They apply only when you deliberately submit content for public use through Signals.
StructMemo is provided by Theorisis LLC (“Theorisis,” “we,” or “us”). Apple’s Standard EULA continues to govern your license to the app. These Terms supplement that EULA only for Signals and Public Content. If these Terms conflict with the Standard EULA about a matter outside Signals or Public Content, the Standard EULA controls.
1. Public Content and ownership
“Public Content” includes a public name or public message, Signal title or text, comments, portrait, Origin Skin, Signal Card Skin, Vision artwork, a Final Only image, selected Layers Included material, selected Process View stages, and other material you expressly choose for public submission.
You retain ownership of your Public Content. These Terms do not give Theorisis LLC rights in your private StructMemo library, editable source, unselected layers or stages, or any material you did not choose for public submission.
2. Signals eligibility and your confirmation
You must be at least 13 years old to publish or comment through Signals.
Each time you submit Public Content, you represent that:
- you own it or have every permission needed to publish it and grant the limited license below;
- its submission and use through StructMemo do not infringe copyright, trademark, privacy, publicity, or other rights;
- you have any permission required for people, personal information, or third-party material included in it; and
- it complies with applicable law and these Public Content Rules.
3. Limited service license
Solely to operate, secure, moderate, and provide Signals, you grant Theorisis LLC a non-exclusive, worldwide, royalty-free license, for the period described below, to receive, host, store, reproduce, transcode, re-encode, render technically necessary public presentations, transmit, publicly display, and distribute your Public Content through StructMemo.
This includes rendering and serving the Final Only, Layers Included, or Process View material you expressly selected. You also authorize Theorisis LLC to grant its service providers a limited sublicense to perform only the acts reasonably necessary to provide, protect, host, deliver, or safety-screen StructMemo on Theorisis LLC’s behalf. A provider may not use that sublicense for its own unrelated purpose.
This license does not transfer ownership, cover unrelated private content, permit sale of your content, or permit its use for unrelated advertising.
4. Public Content Rules, moderation, and OpenAI safety screening
Do not submit content that infringes another person’s rights; unlawfully exposes personal or confidential information; exploits or sexualizes minors; contains unlawful sexual material; makes credible threats; promotes targeted harassment, hatred, or violence; facilitates illegal activity; impersonates or deceives harmfully; distributes spam or malicious material; or otherwise violates applicable law.
StructMemo may use automated moderation and human review, keep uncertain submissions private, reject submissions, inspect reports, unpublish or remove content, and restrict public posting or commenting. StructMemo is not obligated to publish or continue serving any submission.
Only content you expressly choose to publish may be sent to OpenAI for safety screening: candidate public text, sanitized candidate public images, and server-rendered Layers Included or Process View candidate public images. StructMemo does not send your private Thought, private Vision, complete private library, email, Apple ID, StructMemo internal user or content ID, authentication token, or original EXIF or location information for that screening. The StructMemo Privacy Policy describes this processing.
5. Public availability and copies
Approved Public Content may be readable worldwide, including by signed-out visitors. Other people may save, quote, screenshot, or independently redistribute material while it is public. Removing it from StructMemo does not recall copies made independently by others.
6. Public-feature suspension and appeal
Theorisis LLC may suspend or restrict a person’s ability to publish or comment when reasonably necessary to enforce these Terms, investigate reports, protect people or the service, or comply with law. A public-feature suspension does not expose private content and does not by itself prevent reading, reporting, blocking, unpublishing or withdrawing content, permanently deleting content, deleting one’s own comments, or deleting an account.
To appeal a public-feature suspension or content decision, email donggyu@theorisis.com with the subject “StructMemo Public Feature Appeal.” Include enough information to locate the decision and explain why it should be reconsidered, but do not send authentication secrets or unrelated private content. Theorisis LLC may request information necessary to review the appeal.
7. Withdrawal, permanent deletion, and license duration
This license begins when you submit Public Content. Unpublishing a Signal or withdrawing a public asset hides it but may retain the same content so that you can restore it; during that period the license continues only for nonpublic storage, safety, and restoration.
For active service use, the license ends when permanent content deletion or account deletion completes. After permanent deletion completes, neither Theorisis LLC nor a service provider acting on its behalf may newly display, promote, advertise with, use for an unrelated purpose, reconstruct, or republish that content. Limited nonpublic processing may continue only as necessary for temporary caches or backups and for tombstone, report, moderation, security, integrity, audit, or legal records described in the Privacy Policy. Permanent deletion does not affect independent third-party copies made while the content was public.
8. General intellectual-property and rights requests
To report alleged copyright, trademark, privacy, publicity, or other rights infringement, email donggyu@theorisis.com with the subject “StructMemo IP Takedown.” Include:
- your name and contact information;
- the work or right you believe is affected;
- the exact Signal, Vision, comment, Origin, URL, identifier, or screenshot needed to locate the material;
- an explanation of the alleged infringement;
- a good-faith statement that the disputed use is not authorized; and
- a statement that the information is accurate and that you are the rights holder or authorized to act for that holder.
Theorisis LLC may request additional information, temporarily restrict material during review, notify the affected publisher where appropriate, and remove or restore material after review. A publisher may request reconsideration using the subject “StructMemo Rights Appeal.” This is a general rights-reporting process; Theorisis LLC makes no representation in these Terms that a particular statutory notice process or safe harbor applies.
9. Acceptance and changes
These Terms apply only after their version and effective date are published and you affirmatively accept them. A later material version requires renewed acceptance before new or changed Public Content can be made public.
Acceptance uses two separate, unchecked controls: one for the Public Content Terms and rights confirmation, and one for the OpenAI safety-screening disclosure described in the Privacy Policy. Agree & Continue is available only after both controls are selected. Current acceptance must be verified before moderation, upload, reservation, or any other public-write side effect.
Reading, reporting, blocking, unpublishing or withdrawing content, permanently deleting content, deleting one’s own comments, or deleting an account remains available without accepting a later version.
